By using Hala AI services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Hala AI provides AI-powered voice and text agent software and related services for business use, including but not limited to automated call handling, lead qualification, appointment scheduling, and customer support automation.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will not be liable to you or any third party for such changes.

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials confidential
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use our services to:

• Violate any applicable laws or regulations
• Harass, abuse, or harm any individual or group
• Transmit spam, unsolicited communications, or malicious content
• Infringe any intellectual property rights
• Attempt to reverse-engineer, decompile, or extract our source code
• Use the service for fraudulent or deceptive purposes
• Interfere with or disrupt our infrastructure or systems

We reserve the right to investigate violations and take appropriate action, including account suspension or termination and referral to law enforcement.

All content, technology, trademarks, and intellectual property on or within our services — including but not limited to software, AI models, interfaces, and documentation — are owned by or licensed to MetaEmpires and are protected by applicable intellectual property laws.

Nothing in these Terms transfers ownership of any intellectual property to you. You are granted a limited, non-exclusive, non-transferable licence to use the services for your internal business purposes only.

You retain ownership of any data, content, or materials you provide to us through the services ("Your Content"). By using our services, you grant us a limited licence to process Your Content solely to provide and improve the services.

You are solely responsible for ensuring Your Content complies with applicable laws and does not infringe third-party rights. We do not claim ownership of Your Content.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you agree to our data practices as described in the Privacy Policy.

Certain services may require payment. Where fees apply:

• Prices are as stated in the applicable order form or pricing page
• All fees are exclusive of applicable taxes unless stated otherwise
• Payments are non-refundable except as required by law or expressly stated otherwise
• We reserve the right to change pricing with reasonable prior notice

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the services will be uninterrupted, error-free, or free of harmful components. AI-generated outputs may not always be accurate or appropriate — you are responsible for reviewing and validating any outputs before relying on them.

To the maximum extent permitted by law, MetaEmpires shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of our services.

Our total aggregate liability to you for any claim arising out of these Terms or your use of the services shall not exceed the amount you paid us in the 12 months preceding the claim, or £100 (GBP) if no payment has been made.

You agree to indemnify, defend, and hold harmless MetaEmpires and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

Our services may integrate with or link to third-party products, platforms, or websites. We are not responsible for the content, privacy practices, or terms of such third parties. Your use of third-party services is at your own risk and subject to their terms.

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or if we are required to do so by law.

Upon termination, your right to use the services ceases. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will survive.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable consumer protection law in your jurisdiction.

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Where changes are material, we will provide reasonable notice (e.g., by email or a notice on our website). Continued use of the services after the effective date constitutes acceptance of the updated Terms.
